1. Overview

Clear Signal Media LLC operates FinishYourApp.com, a business-to-business software and messaging platform that helps customers send application reminder messages and related communications (for example, via SMS) to their own end users and leads. We do not extend credit, make lending decisions, or provide financial advice. Our customers are responsible for their own products, services, and regulatory obligations.

2. Eligibility & Account

By using our services, you represent and warrant that you are entering into this agreement on behalf of a business entity and have authority to bind that entity. You also agree to provide accurate business and contact information and to keep your account credentials secure.

3. Services We Provide

Subject to these Terms, we provide access to a hosted platform that may include:

  • Tools to send reminder messages and links to complete applications or forms;
  • Interfaces and APIs to upload or synchronize leads and application data;
  • Reporting and analytics on message delivery, clicks, and completion events;
  • Support and guidance related to carrier and messaging compliance.

We may update, improve, or modify features from time to time. If we make material changes that significantly reduce core functionality, we will use reasonable efforts to provide notice.

4. Your Responsibilities

You are responsible for:

  • Ensuring that all leads and end users you contact via our services have provided valid consent to receive messages under applicable laws and carrier rules;
  • Maintaining accurate and up-to-date suppression lists and honoring all opt-out requests;
  • Providing accurate information about your business, use case, and message content during campaign registration processes;
  • Complying with all applicable laws, regulations, and industry guidelines, including but not limited to privacy, consumer protection, and telemarketing rules;
  • The content of all messages and links you send through the platform, including any landing pages or applications you host separately.

5. Acceptable Use

You agree not to use the services to:

  • Send messages that contain illegal, fraudulent, or deceptive content;
  • Send content involving SHAFT topics (sex, hate, alcohol, firearms, tobacco) unless explicitly permitted and compliant;
  • Send spam or unsolicited messages to individuals who have not provided appropriate consent;
  • Engage in abusive, harassing, or threatening behavior toward any person;
  • Probe or attempt to breach the security of our systems or any third-party service;
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the platform.

6. Fees & Payment

Fees, billing schedules, and payment terms will be defined in a separate order form, statement of work, or subscription agreement between you and us. You agree to pay all fees when due and are responsible for any taxes, duties, or similar governmental assessments associated with your use of the services.

7. Data & Privacy

We process personal data as a service provider on your behalf for the limited purpose of delivering and analyzing your messaging campaigns and related services. Our collection and use of data is described more fully in our Privacy Policy.

You are responsible for obtaining all consents and providing all notices to your end users that may be required under applicable law, including but not limited to disclosures regarding text messaging, data sharing with service providers, and data retention.

8. Security

We implement reasonable technical and organizational measures designed to protect the security and confidentiality of the data we process. However, no system is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the security of your own systems, devices, and credentials.

9. Suspension & Termination

We may suspend or terminate your access to the services if:

  • You materially breach these Terms or any applicable law;
  • Your campaigns cause or are likely to cause carrier blocks, excessive complaints, or other risk;
  • You fail to pay undisputed amounts when due; or
  • We reasonably believe suspension is necessary to protect the platform, other customers, or end users.

You may terminate your account based on the notice and termination provisions in your separate order form or subscription agreement. Upon termination, we may retain certain data as required for legal, compliance, or backup purposes.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MESSAGES WILL ALWAYS BE DELIVERED OR RECEIVED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER FINISHYOURAPP NOR ITS AFFILIATES OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR FOR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

IN NO EVENT WILL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless FinishYourApp and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the services; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of a third party, including your end users.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the “Last updated” date at the top of this page and, where reasonable, by additional means such as email or an in-app notice. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law & Disputes

These Terms will be governed by and construed in accordance with the laws of the jurisdiction in which FinishYourApp is organized, without regard to its conflict of law rules. Any disputes arising out of or relating to these Terms or the services will be resolved in the courts of that jurisdiction, unless otherwise specified in a separate written agreement.
